EiD THEME DESiGN Creator / Seller Partner Terms
1. Scope and application
These terms govern applications, approved accounts, content submissions, distribution, revenue participation, statements, invoices and payouts. Registration is an application and does not guarantee approval, publication or sales.
2. Accurate trader information
The Partner must provide accurate and current identity, address, telephone, email, company, trade-register, tax and payout-account information and supporting evidence when reasonably requested. Business applicants confirm that their representative is authorised to act for the business.
3. Account and review
The Partner must protect account credentials and promptly report suspected misuse. EiD THEME DESiGN may verify information, request corrections, reject an application or suspend functions where information is incomplete, inconsistent, unlawful or presents a material security, sanctions, fraud or rights risk.
4. Ownership and distribution licence
The Partner retains ownership. For accepted content, the Partner grants EiD THEME DESiGN a non-exclusive, worldwide licence for the agreed term to host, reproduce, technically adapt, preview, market, distribute and sublicense the content only as needed for the selected stores and EiD THEME DESiGN services. Moral rights and mandatory statutory rights remain unaffected.
5. Content rules and AI transparency
The Rights and AI Declaration forms part of these terms. The Partner must not submit unlawful, infringing, deceptive, malicious, privacy-invasive or exploitative content and must provide accurate AI and third-party asset disclosures.
6. Revenue participation
Private creators receive 20% of Net Revenue. A business may request a whole percentage from 20% to 70%; 30% is recommended by default. A requested rate becomes binding only after written approval. Net Revenue means amounts actually received for the content less applicable taxes, store commissions and fees, refunds, chargebacks, reversals, currency-conversion costs and other documented transaction-specific deductions.
7. Statements and payouts
Statements identify the period, relevant Net Revenue, agreed percentage and Partner amount. Payout requires approval, completed verification, valid payment and tax information and the applicable minimum threshold. Disputed, reversed, unlawful or insufficiently documented amounts may be held while reasonably investigated.
8. Taxes and self-billing
The Partner remains responsible for registrations, declarations and taxes applicable to the Partner. Where separately agreed and legally permitted, EiD THEME DESiGN may issue self-billing invoices for a business Partner. The Partner must verify each document and promptly report incorrect details. A private-creator payout statement is not presented as a VAT invoice.
9. Notices, takedowns and cooperation
EiD THEME DESiGN may restrict or remove content following a store decision, credible rights notice, legal obligation or reasonable compliance concern. The Partner will receive available reasons and an opportunity to provide information where legally and operationally possible.
10. Term, termination and liability
Either party may end future participation by written notice. Accrued undisputed amounts remain subject to verification and correction. Nothing excludes liability that cannot legally be excluded. Subject to mandatory law, neither party is liable for indirect or consequential loss, and EiD THEME DESiGN does not guarantee uninterrupted availability, acceptance, publication, compatibility or sales volume.
11. Changes, law and records
Material changes require a new version and renewed acceptance before they bind future activity. Dutch law applies, subject to mandatory protections that cannot be waived. Accepted document versions and completed financial records are retained for evidence, accounting, fraud prevention and legal obligations.
